1. Introduction

Welcome to Big Cove Technology ("Company," "we," "our," or "us"). These Terms of Service ("Terms") govern your use of our consulting services, hardware products, and related offerings. By engaging our services or purchasing our products, you agree to be bound by these Terms.

2. Services Offered

Big Cove Technology provides the following services and products:

  • Consulting Services: Product design and development, embedded systems/IoT development, cloud application development, and related technical consulting services
  • Hardware Products: Custom PCB design and manufacturing, embedded systems, and IoT devices
  • Software Development: Custom software applications, firmware, and cloud-based solutions
  • SaaS Products: Software-as-a-Service applications offered on a recurring subscription basis to both businesses and individual end users

3. Engagement and Payment Terms

3.1 Hourly Consulting Services

  • Hourly rates are agreed upon in writing before work commences
  • Time is tracked and billed in increments as specified in your service agreement
  • Invoices are issued monthly or at project milestones as agreed
  • Payment is due within 30 days of invoice date unless otherwise agreed

3.2 Fixed-Price Projects

  • Project scope, deliverables, and total price are defined in a written statement of work (SOW)
  • Payment schedules are specified in the SOW, typically including milestone payments
  • Changes to scope require written change orders and may adjust the project price

3.3 Hardware Products

  • Hardware orders require a deposit as specified at time of order
  • Custom hardware requires full payment before manufacturing begins
  • Shipping costs are additional unless otherwise specified
  • Delivery timelines are estimates and may vary based on component availability

3.4 SaaS Subscriptions

  • SaaS products are offered on monthly or annual subscription plans as specified for each product
  • Subscriptions automatically renew at the end of each billing period unless cancelled
  • Payment is charged at the beginning of each billing period
  • Pricing is as displayed at the time of subscription; we will provide notice of any price changes before your next renewal
  • Business accounts may be invoiced with net-30 payment terms upon request and approval
  • All fees are non-refundable except as expressly stated in our cancellation policy

4. Refund and Cancellation Policy

4.1 Consulting Services (Hourly)

  • You may cancel hourly consulting engagements at any time with written notice
  • You are responsible for payment of all hours worked up to the cancellation date
  • Unused prepaid hours will be refunded within 30 days of cancellation
  • No refunds are provided for completed and approved work

4.2 Fixed-Price Projects

  • Cancellation before project commencement: Full refund of any deposits, minus reasonable administrative costs
  • Cancellation after project commencement: Payment is due for all completed milestones and work performed to date
  • No refunds for completed deliverables that meet the agreed specifications
  • If we fail to deliver according to the agreed specifications, we will either correct the deliverables at no additional cost or provide a proportional refund

4.3 Hardware Products

  • Standard Products: May be returned within 30 days of delivery in original, unopened condition for a full refund minus shipping costs
  • Custom Hardware: Custom-manufactured hardware is non-refundable once production has begun, as these items are made specifically for your requirements
  • Defective Products: Defective hardware will be repaired or replaced at no cost within the warranty period (typically 12 months from delivery)

4.4 SaaS Subscriptions

  • You may cancel your subscription at any time through your account settings or by contacting us
  • Cancellation takes effect at the end of your current billing period; you retain access until then
  • Monthly subscriptions: No refunds for partial months; service continues until the end of the current billing period
  • Annual subscriptions: You may request a prorated refund within the first 30 days of your subscription or renewal. After 30 days, no refunds are provided but you retain access for the remainder of your subscription term
  • We reserve the right to terminate accounts that violate our acceptable use policies, with or without refund at our discretion
  • Upon cancellation, your data will be retained for 30 days, after which it may be permanently deleted

4.5 Requesting a Refund

To request a refund, please contact us at info@bigcove.io with:

  • Your name and contact information
  • Invoice or order number
  • Reason for the refund request
  • Any relevant documentation

We will review your request and respond within 5 business days. Approved refunds are processed within 10 business days.

5. Shipping and Delivery

  • Hardware products are shipped via standard carriers (USPS, UPS, FedEx) unless otherwise specified
  • Shipping costs are calculated at checkout or provided in your quote
  • Delivery times vary based on destination and shipping method selected
  • International orders may be subject to customs duties and taxes, which are the responsibility of the buyer
  • Risk of loss transfers to you upon delivery to the carrier

6. Intellectual Property

  • Unless otherwise agreed in writing, you retain ownership of any intellectual property you provide to us
  • Ownership of deliverables is specified in your service agreement or SOW
  • We retain ownership of our pre-existing tools, methodologies, and general know-how
  • Standard software licenses apply to any third-party components used in deliverables

7. Warranty

7.1 Services Warranty

We warrant that our consulting services will be performed in a professional and workmanlike manner consistent with industry standards. If services do not meet this standard, we will re-perform the deficient services at no additional cost.

7.2 Hardware Warranty

Hardware products are warranted against defects in materials and workmanship for 12 months from the date of delivery. This warranty does not cover:

  • Damage from misuse, accident, or unauthorized modification
  • Normal wear and tear
  • Damage from operating outside specified conditions
  • Cosmetic damage that does not affect functionality

8. Limitation of Liability

To the maximum extent permitted by law:

  • Our total liability for any claim arising from our services or products shall not exceed the amount you paid us in the 12 months preceding the claim
  • We are not liable for indirect, incidental, special, consequential, or punitive damages
  • We are not liable for lost profits, data loss, or business interruption

9. Confidentiality

We treat all client information as confidential. We will not disclose your proprietary information to third parties without your consent, except as required by law or as necessary to perform our services (e.g., engaging subcontractors under similar confidentiality obligations).

10. Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts located in Washington.

11. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email or posted on our website. Continued use of our services after changes constitutes acceptance of the updated Terms.
